Georgia

Georgia law requires the LLC name to contain one of the following: “Limited Liability Company”, “LLC”, “L.L.C.”, “Limited Company”, “LC”, or “L.C.”. The term “Limited can be abbreviated as “Ltd.” and “Company” may be abbreviated as “Co.”. You can researve a name for 30 days online for a fee of $25.

A Transmittal Inforamtion Georgia Limited Liability formed must be filed along with the Articles of Organization to the Georgia Secretary of State Corporations Division.

Foreign LLCs must register with the Georgia Secretary of State. The Application for Certificate of Authority for Foriegn Limited Liability Company can be submitted at the Secretary of State website.

Florida

The State of Florida has specified name requirements for LLCs. The name of the business entity must end with “Limited Liability Company”, “Limited Company”, “Ltd. Co.”, “LLC”, “L.L.C.”, “LC”, or “L.C.”.

LLCs must have at least one member or manager. The member/manager names and addresses must be listed in the Articles of Organization, which will be filed to the Florida Division of Corporations.

The Articles of Organization must include information about the registered agent of the business entity, including their name and physical address. They must be available to accept legal and tax documents.

Delaware

A Delaware LLC must have at least one member or manager. There are no age restrictions for members and no requirements to have a physical address in the state.

A Certificate of Formation will be filed to the Delaware Division of Corporations. The certificate must include the designated registered agent. The agent must have a physical address in Delaware and have listed hours for availability.

When forming an LLC in Delware, the formal business name must be accompanied by the words “Limited Liability Company” or “LLC”. The name must contain names of members such as “Club”, “Fund”, “Institute”, “Society”, and “Union”.

An LLC’s name must not be closely similar to the names of other businesses already on file with the Delaware Secretary of State. Available business names are available which can be reserved for 120 days and paying a $75 fee.

An LLC operating agreement is recommended, but there are no publication requirements in Delaware. Business owners must comply with additional tax and regulatory requirements under state laws. Under Delaware law, LLCs must pay an annual $250 franchise tax by June 1 of each year.

Foreign LLCs looking to do business in Delaware must file a Certificate of Registration of Foreign Limited Liability Company. The foreign LLC’s home state must also provide a Certificate of Existence.

Connecticut

Connecticut regulations regarding LLC formation in the state includes filing the Articles of Organization and a document listing personnel requirements. The name of the business entity must contain the terms “LLC”, “Limited Liability Company”, or “Ltd. Liability Company”. There are no publication requirements for forming an LLC in Connecticut.

The Articles or Organization will be submitted to the Connecticut Secretary of State. The articles must include information about the LLC’s name, address, purpose, the name, address, and signature of the LLC’s registered agent, the name and address of at least one manager or member, and a statement regarding if whether the LLC will be managed by a manager. The articles can be filed online at the Connecticut Secretary of State website, by mail, or through LegalZoom.

Colorado

To form an LLC in Colorado you file your Article of Incorporation. Here are the forms to do that directly through the Secretary of State.

The LLC name must contain the words “limited liability company”, “ltd. Liability company”, “limited liability co.”, “ltd. liability co.”, “limited”, “L.L.C.”, “L.C.”, or “LLC”. The filing fee for the State of Colorado is $25.

An EIN Number must be obtained from the IRS to manage a bank account or hire employees.

California

Under California naming guidelines, the LLC must contain the words “Limited Liability Company” or the abbreviation “L.L.C.” or “LLC”. To check for name availability, a name search can be performed on the State of California website.

The Articles of Organization, Form LLC-1, must be filed to the California Secretary of State’s office. It will include the LLC’s name, management information, purpose, address, and name and address of its registered agent.

There are no publication requirements for LLC’s registered in California. Every California and foreign LLC must file a Statement of Information, Form LLC-12, to the Secretary of State withing 90 days after filing the Articles of Organization. Form LLC-12 is available on the California Secretary of State website and the filing fee is $20.

Arkansas

Parties interested in forming an LLC in Arkansas must file the Articles of Organizaiton with the Secretary of State. The document must include the LLC name and address, registered agent name and address, management structure of the LLC, excecution date, and organizer’s name and signature.

The LLC franchise tax registration form must be filed along with the Articles of Organization. LLCs must have the words “Limited Liability Company”, “Limited Company”, “L.C.”, L.L.C.”, “L.C.”, “LLC”, or “LC”. Companies that perform professional services must use the words “Professional Limited Liability Company”, Professional Limited Company”, “P.L.L.C., “P.L.C”, “PLLC”, or “PLC”.

Arizona

In order to get started on forming an LLC, you must file a cover sheet, Articles of Organization with Member Structure Attachment, and Statutory Agent Acceptance form to the Arizona Corporation Commission. A copy of the form can be obtained at the Arizona Corporation Commissioni Website. The state filing fee is $50.

An LLC name must contain the words “limited liability company”, “limited company”, or the abbreviations “L.L.C.”, “L.C.”, “LLC” or “LC”. A.R.S. 29-602(A)(1). The availability of an LLC name can be checked at the Arizona Corporation Commission Electronic Filing Document Information website.

Alaska

To comply with Alaska law, LLC’s must have the words “Limited Liability Company” or “LLC’ or L.L.C. in their name.

You can check for availability of names at the Alaska Department of Commerce, Community, and Economic Development Website. A $25 fee is required to reserve the name for up to 120 days.

Alabama

There is a Domestic and Foregin Filing in this state.
